Senior Contract Paralegal

Summary:
The Senior Contract Paralegal will collaborate with the contract team to draft and process a variety of contracts. This will include, legal review and redline, analyzing and identifying risk, researching and resolving legal process issues, as well as providing guidance and recommendations on contract standards and compliance. In addition, the Senior Contract Paralegal will maintain and manage contract workflow and serve as custodian of records.

Key Responsibilities:

  • Drafts, reviews, and redlines a variety of contracts from moderate to comprehensive complexity and provides written and oral recommendations, as well as compares various draft versions to ensure agreed changes are properly incorporated.
  • Recommends, develops and implements contracting policies, procedures, and processes.
  • Continuously measures performance and improves productivity for contract workflow.
  • Assists with the implementation of contract systems.
  • Maintains original and electronic contract files; coordinates review of contract versions by appropriate team members and maintains contract databases.
  • Manage and maintains contract templates, including systematic template review and revision to ensure templates meet current legal requirements and business needs.
  • Prepares contract summaries and various lists for department and compliance use.
  • Monitors compliance with internal business and communicates breach of contracts.
  • Drafts termination letters and other legal notice correspondence as appropriate and required.
  • Performs research on laws and regulations to advise on relevant contracting issues, interpret legal terms, and manage process improvement.
  • Secure necessary approvals and ensure that standard operating procedures are followed.
  • Other responsibilities may be assigned as needed.

Qualifications:

  • Bachelor’s degree in Legal or Paralegal Studies or other legal related discipline. An equivalent combination of education and experience will be considered.
  • Paralegal certificate required.
  • Minimum of 7+ years of related work experience, including 2-3 years in a legal setting.
  • In addition to legal experience in contract drafting and review, experience in contract administration, procurement, or contract negotiation highly desired.
  • Able to rely on extensive experience and judgment to plan and accomplish goals. Performs a variety of complicated tasks. A wide degree of creativity and latitude is expected.
  • Detail oriented, with the ability to prioritize multiple responsibilities and maximize productivity by managing time and staying organized while working independently or with a team.
  • Integrity driven with experience handling confidential and sensitive information with the ability to exercise discretion, demonstrate good judgment and integrity is required.
  • Effective skills and experience in written and oral communications.
  • Must have a high level of proficiency in Microsoft Office Suite products. Specifically Word, Power Point, and Outlook, as well as proficiency in Adobe Acrobat.
  • Familiarity with Full Cycle Contract Management Software and E-Signature Software.
  • Basic knowledge of Survey Software, Virtual Data Rooms, Web Conferencing, and CRM software.
